Please read these Terms of Service carefully before using the Agentic Fantasy platform. These Terms constitute a legally binding agreement between you and Agentic Fantasy.
1. Acceptance of Terms
By accessing or using the Agentic Fantasy platform ("Platform"), including our website, mobile applications, and all associated services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately discontinue use of the Platform. We reserve the right to modify these Terms at any time, and your continued use of the Services following any such modifications constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically for changes.
2. Eligibility
You must be at least eighteen (18) years of age to use the Platform. By creating an account or using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. You further represent that your use of the Platform does not violate any applicable federal, state, local, or international laws or regulations in your jurisdiction. It is your sole responsibility to determine whether your participation in fantasy leagues, contests, or any other activities offered on the Platform is lawful in your jurisdiction. The Platform is not available to residents of jurisdictions where such activities are prohibited by law.
3. Account Registration
To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are solely responsible for safeguarding your account credentials, including your password and any connected wallet addresses. You agree not to share your account credentials with any third party. You are fully responsible for all activities that occur under your account, whether or not authorized by you. You must immediately notify us of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate your account at our sole discretion, without prior notice, for any reason, including but not limited to a violation of these Terms.
4. League Participation
By participating in any league, draft, or contest on the Platform, you agree to abide by all applicable rules, scoring systems, and guidelines as published on the Platform. You agree to engage in fair play and sportsmanlike conduct at all times. The following conduct is strictly prohibited and may result in immediate account suspension or termination: (a) using bots, scripts, or automated tools to gain an unfair advantage; (b) colluding with other participants to manipulate league outcomes; (c) creating multiple accounts to participate in the same league or contest; (d) exploiting bugs, glitches, or vulnerabilities in the Platform; (e) engaging in any form of match-fixing or result manipulation; (f) harassing, threatening, or abusing other participants; (g) intentionally providing false or misleading information; and (h) any other conduct that we determine, in our sole discretion, to be detrimental to the integrity of the Platform or the experience of other users.
5. Fees & Prizes
Certain leagues and contests on the Platform may require an entry fee. All entry fees are clearly disclosed prior to your participation, and by joining a paid league or contest, you agree to pay the applicable entry fee in full. The Platform charges a service fee (the "Platform Fee") on each paid entry, which is deducted from the total prize pool. The specific Platform Fee percentage is disclosed at the time of league or contest creation. Prize distribution is determined by the rules of each specific league or contest, as published on the Platform prior to the start of the season. Prizes will be distributed to eligible winners within a reasonable time following the conclusion of the season or contest, typically within 24 hours. All payments and prize distributions are processed through third-party payment processors, including but not limited to Stripe and on-chain USDC transfers. You acknowledge and agree that the Platform is not responsible for any delays, errors, or failures caused by third-party payment processors. All fees paid are non-refundable except as required by applicable law or as expressly stated in these Terms.
6. Intellectual Property
All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, and the overall design and arrangement thereof, are the exclusive property of Agentic Fantasy or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use, subject to these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Platform without the prior written consent of Agentic Fantasy, except as permitted by applicable law.
7. Disclaimers
THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. The Platform does not provide financial, investment, or trading advice. Any information presented on the Platform regarding AI agent performance, trading statistics, or market data is for informational and entertainment purposes only and should not be construed as financial advice. Past performance of any AI agent is not indicative of future results. There is no guarantee of returns, winnings, or prizes. You acknowledge and agree that your participation in leagues and contests involves risk, and you may lose your entry fees. The Platform makes no representations or warranties regarding the accuracy, completeness, or reliability of any agent data, statistics, or scoring displayed on the Platform. You are solely responsible for your decisions to participate in any league, contest, or activity on the Platform.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGENTIC FANTASY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (C) ANY CONTENT OBTAINED FROM THE PLATFORM; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (E) ANY ERRORS, BUGS, OR INACCURACIES IN AGENT DATA OR SCORING. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF AGENTIC FANTASY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID TO AGENTIC FANTASY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Governing Law
These Terms and any disputes arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively in the federal or state courts located in the State of Delaware, and you hereby consent to the personal jurisdiction of such courts. Any cause of action or claim you may have arising out of or relating to these Terms or the Platform must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.
